These Terms of Use govern your use of Jooni Inc websites and services.

1. Acceptance of terms

By accessing or using Jooni websites or services, you agree to these Terms.

2. Accounts and use

  • You are responsible for the accuracy of registration details and safeguarding credentials.
  • You will comply with the Acceptable Use Policy and applicable laws.
  • API usage is subject to fair‑use and rate‑limiting policies; see the AUP for automation and scraping restrictions.

3. License

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to use the services.

4. Customer content

You retain ownership of your content. You grant us the rights necessary to host, process, transmit, display, and otherwise use your content to provide and secure the services in accordance with these Terms. Jooni may collect and use service telemetry, logs, and performance data, and may create de‑identified and/or aggregated data derived from your use of the services for purposes including operating, securing, and improving the services. Jooni will not disclose Customer‑identifying telemetry or content to third parties except as permitted under these Terms or required by law.

5. Intellectual property

We and our licensors retain all rights to the services, software, and documentation.

6. Confidentiality

Each party will protect the other’s confidential information and use it only as permitted.

7. Privacy and data processing

Our Privacy Statement and DPA (where applicable) govern processing of personal data.

8. Third‑party services

Use of third‑party services is subject to their terms; we are not responsible for them. You are responsible for compliance with applicable RF, safety, and product regulations when deploying devices.

The services are provided "as is" except as expressly stated. We disclaim implied warranties to the maximum extent permitted.

11. Disclaimers; Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages; and each party’s aggregate liability is limited to fees paid in the 12 months preceding the claim. The SLA is incorporated by reference, and service credits (if applicable) are the sole and exclusive remedy for service unavailability or failure to meet the Service Commitment. Availability and third‑party provider issues are handled per the SLA and exclusions therein.

12. Beta features

From time to time we may offer pre‑release or beta features or services. These are provided "as is", may change or be discontinued at any time, and are excluded from SLA and support commitments unless stated otherwise.

13. Indemnification

Each party will defend and indemnify the other against third‑party claims as specified in the applicable agreement.

14. Suspension and termination

We may suspend or terminate access for material breaches, legal requirements, or security risks.

15. Export and sanctions

You will comply with export control and sanctions laws. See Export & Market Availability. We may restrict sales or service to certain geographies, end users, or end uses (including foreign adversaries, terrorism, WMD, or unlawful surveillance) to comply with law and policy.

16. Changes to services or terms

We may modify services or these Terms; material changes will apply prospectively.

17. Governing law; venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict‑of‑laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Miami‑Dade County, Florida.

18. Feedback

If you provide feedback or suggestions, you grant Jooni a worldwide, royalty‑free license to use it to improve our products and services.

19. Open source

Jooni products may include open‑source components governed by their licenses. See Open Source Notices.

20. Order of precedence

If there is a conflict between these Terms and a signed agreement, the signed agreement controls to the extent of the conflict.
